1. ACCEPTANCE OF TERMS
By signing up and submitting this form, Producer agrees to be bound by the terms and conditions set forth in this Agreement as per the Indian Contract Act, 1872.
2. GRANT OF STREAMING RIGHTS
Producer grants Company the exclusive right to stream and distribute the movies and web series produced by Producer on Company's Niri9 OTT platform globally for a period of 2 years from the Effective Date.
3. RENTAL MODULE
a. Producer has the option to upload videos on a rental basis.
b. Producer will earn 30% of the total rental price for each movie rented by viewers.
4. SUBSCRIPTION MODULE
a. Producer has the option to upload videos on a subscription basis.
- For a 30-minute video: Rs 0.008 per view, with 60% of the video watched required for 1 view.
- For a 45-minute video: Rs 0.010 per view, with 60% of the video watched required for 1 view.
- For a 60-minute video: Rs 0.012 per view, with 60% of the video watched required for 1 view.
- For a 120-minute video: Rs 0.014 per view, with 60% of the video watched required for 1 view.
- For a 180-minute video: Rs 0.016 per view, with 60% of the video watched required for 1 view.
5. Views Calculation
For example, we mentioned that 60% of the video watched is required to count as 1 view. This means that if a viewer watches at least 60% of the 30-minute video, it would be considered a view.
Here's the calculation:
30 minutes * 0.6 = 18 minutes
So, if a viewer watches at least 18 minutes of the 30-minute video, it would typically be counted as one view according to the specified criteria.
6. STREAMING TERM
The streaming rights granted to Company will be valid for a period of 2 years from the Effective Date.
7. PAYMENT TERMS
a. Payments to Producer for rental earnings will be made on a monthly basis.
b. Payments to Producer for subscription earnings will be made on a quarterly basis.
8. REPORTING
Producer has access to a dedicated dashboard where the Producer can monitor and track rentals, views, and other relevant metrics.
9. PROMOTION
Company agrees to promote Producer's content on its platform to maximize viewership.
10. CONTENT QUALITY
Producer agrees to provide high-quality content that meets Company's standards.
Adding specific quality standards, such as requiring content to be in Full HD 1080p, ensures that the content provided by the producer meets a defined level of quality. This helps maintain a consistent viewing experience for subscribers on the Niri9 OTT platform.
11. EXCLUSIVITY
Producer agrees not to distribute the same content on any other OTT platform during the streaming term.
12. INTELLECTUAL PROPERTY
Producer retains all intellectual property rights to the content uploaded on Company's platform, in accordance with the Indian Contract Act, 1872.
13. CONTENT REMOVAL
Company reserves the right to remove any content that violates its policies or applicable laws.
14. INDEMNIFICATION
Producer agrees to indemnify and hold Company harmless from any claims arising out of the content provided by Producer.
15. MODIFICATION OF TERMS
Company reserves the right to modify the terms of this Agreement with prior notice to Producer.
16. TERMINATION
Either party may terminate this Agreement with 30 days written notice if the other party breaches any material term.
17. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [Your Country] as specified in the Indian Contract Act, 1872.
18. DISPUTE RESOLUTION
Any disputes arising under or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of Niri9 as per the Arbitration and Conciliation Act, 1996.
19. NOTICES
All notices under this Agreement shall be in writing and delivered to the addresses provided by each party.
20. Account Creation:
Creators sign up to create an account on the Niri9 platform.
The Niri9 team verifies the authenticity of the creator. This step is crucial for ensuring that genuine creators are granted access to the platform.
Once the verification is successful, the creator's account is activated, allowing them to proceed with uploading content.
Creators can then upload their videos to the platform.
The Niri9 team reviews the uploaded videos for compliance with the platform's standards and policies.
- 72-Hour Approval Period:
- It takes up to 72 hours for the Niri9 team to approve the uploaded videos for streaming on the platform.
21. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
Last: I, the producer of ……. do hereby accept this contract agreement with an open and sound mind, under no pressure, in accordance with the Indian Contract Act, 1872.
By accepting this agreement the Niri9 Producer account will be created.
